US SEC Proposes New Regulatory Framework for Crypto Assets

The US Securities and Exchange Commission (SEC) has proposed new rules aiming to establish a clear and purpose-built regulatory framework for investment contracts involving crypto assets. The initiative is designed to remove existing legal barriers to responsible capital formation and foster long-term innovation across US markets.

Under the proposed rules, issuers receive two main registration exemptions: a one-time exemption for offerings up to $5 million over four years, and a broader option allowing up to $75 million in any 12-month period subject to ongoing financial reporting. Additionally, a conditional "safe harbor" mechanism will prevent certain crypto assets from being classified as investment contracts, while preempting state-level registration requirements.

SEC Chairman Paul Atkins stated that while Congress works on permanent legislation, this regulatory framework provides entrepreneurs and market participants with transparent, reliable pathways to raise capital.
